1. Approval of the Management Report of Zehnder Group AG, the annual financial statements of Zehnder Group AG and the consolidated financial statements
2. Discharge of the members of the Board of Directors and the Group Executive Committee
3. Resolution on the appropriation of the balance sheet profits of Zehnder Group AG
4. Approval of the total sum of future compensation for the Board of Directors and the Group Executive Committee; advisory vote on the Compensation Report for 2025
5. Approval of the Sustainability Report 2025
6. Elections

All the documents are available to the shareholders for inspection at the company's headquarters in Gränichen, Switzerland, where they can be ordered (telephone +41 62 855 15 20).

Voting rights and access to the Annual General Meeting:

Entitled to vote are shareholders who are registered at the share register of Zehnder Group AG by 5 March 2026, 12:00 p.m. (CET). Registered 
shareholders will automatically receive the log-in data and required information as well as the agenda.

E-Voting:

Shareholders may participate in votes and elections using remote voting electronically (eVoting). To do so, please register at the InvestorPortal www.gvote.ch. The login data required to vote electronically is sent to shareholders together with the written documentation for the Annual General Meeting.
