The organizational
regulations are based on art. 17 of the articles of incorporation
and art. 716 b of the Swiss Code of Obligations (Company Law).
The regulations lay down the constitution, duties and rights of
the board of directors, of committees of the board, of the chairman
of the board, and of the executive committee.
